[영문법률용어] 영문계약에서 자주 쓰이는 관용구 (1)

안녕하세요, 이번 포스팅에서는 영문계약에서 자주 쓰이는 문구들을 정리해 나가고자 합니다. 일반적인 글이나 대화 중 사용되는 표현도 있으나, 일상에서 자주 사용되지 않는 문구도 있어 때로 해석하기 어려운 경우가 있습니다. 그 중에서 몇가지 소개드립니다. 앞선 "Legal Terminology" 포스팅과 같이 추가적 업데이트를 진행하려고 합니다.

소개드리는 "Legal Terminology" 중 특히 "Legalese" (legal jargon으로서 주로 영미 변호사들이 계약서에 전통적으로 사용하며 일반인들이 일상에서 잘 사용하지 않아 이해하기 어려운 어휘/문구) 에 관하여는 별도의 정리된 포스팅을 참고하여 주시기 바랍니다.

(1) Inter alia 

'그 중에서 특히' 라는 라틴어입니다. 영어로 표현하자면 among other things, among others라고도 쓸 수 있는데요, 여러가지의 항목이나 대상 중 특히 강조하고 싶은 것이 있는 경우에 사용합니다. 

(사용례) The study includes, inter alia, pharmaceuticals and biologics. 

(2) Commission or Omission

'작위 또는 부작위'라는 뜻입니다. 즉, 계약상 또는 법률상 위반에 해당되는 내용을 하거나, 계약상 또는 법률상 지켜야할 의무를 하지 않는 것입니다. 

(사용례) 'A' shall be liable for damages arising from commission or omission of its abovementioned obligations.

(3) Cumulative and not exclusive

'누적적' 또는 '배타적이지 않은'이라는 표현입니다. 주로 법적 구제 권리를 당사자가 선택적으로 또는 병합하여 행사할 수 있다는 조항에서 사용이 됩니다.

(사용례) The remedies provided herein are cumulative and not exclusive of any remedies provided by law.

(4) At one's discretion

'재량하에' 라는 뜻입니다. 즉 일방 당사자가 자유롭게 합리적 의사에 따라 결정을 하거나 행동을 할 수 있다와 같은 표현을 할 때에 사용이 됩니다.

(사용례) The seller at its discretion may change the specifications of the Sample during the term of this Agreement.

(5) notwithstanding the foregoing

'지금까지 기재된 내용에도 불구하고'라는 뜻으로 자주 등장합니다. 즉 앞서 합의된 내용에도 불구하고 예외를 설정할 때에 사용됩니다. 아래와 같은 방식으로 구체적 조항을 명시해 사용될 수도 있습니다.

(사용례) Notwithstanding Article 3,...

(6) without prejudice to

'어떠한 일을 함으로써 다른 일을 배제하거나 침해하지는 않고'라는 표현입니다. 아래 문장의 경우, '중재를 신청할 권리를 배제하지 않고 본 계약의 해지를 진행한다'라는 뜻으로 사용될 수 있겠습니다.

(사용례) Termination of this Agreement shall be made without prejudice to any rights to seek arbitration.

(7) including but not limited to 

'지금부터 제시하는 예들은 단지 예시일 뿐, 앞서 사용한 어구의 뜻은 이를 한정하는 것은 아니다'라는 표현입니다.

(사용례) Confidential information means all information that is of confidential nature to Licensor, including but not limited to, all unpatented information, patentatable technical information, discoveries...

(8) at one's own risk, at the risk of

'위험을 부담하거나 자신의 책임으로 하는' 이라는 표현입니다.

(사용례) Transportation of the Materials from the port of destination to the Sites shall be undertaken by the Driver at its own risk.

(9) arm's lenth

'서로 대등한 입장에서의'라는 표현으로 두 당사자가 서로 독립된 주체로서 거래를 하는 관계를 나타내는 말입니다.

(사용례) The Borrower shall cause any acquisition or sale or other disposition of any Collateral Debt Obligation to be conducted on an arm’s length basis and in accordance with the terms of this Agreement.

(10) subject to

'~을 조건으로' 라는 표현으로 그 조건이 없으면 계약사항이 이행되지 않는 경우에 사용이 됩니다.

(사용례) Subject to the obligations in section 10, nothing set out herein shall prevent Customer from using general know how gained in performing the Evaluation.

(11) 계약간 관계성 표현

양 계약 상호간 연관성이 있는 경우에는 선행 계약에서 사용된 정의(Definition)를 그대로 사용하고자 하는 경우에 계약서 내에 활용할 수 있는 표현입니다.

(사용례) Words and expressions used in this 'Agreement'(후행계약) shall, unless otherwise defined herein or the context otherwise requires, be read and construed in accordance with the '000 Agreement'(선행계약) executed on the 00.00.0000. 

(12) 계약간 Conflict가 발생하는 경우 해석상 우위를 정하는 표현

양 계약이 모두 유효하며 상호간 연관성은 있으나 각 문서간 유사 조항의 세부적 내용의 차이가 있는 경우, 어느 한 계약의 내용이 해석상 우위에 있어 타계약의 내용을 대체하고 싶을 때 사용할 수 있는 표현입니다.

(사용례) In the case where any conflict or inconsistency between 'this Article' and '000 Article in the 000 Agreement' occurs, the '000 Article in the 000 Agreement' shall be governing and prevailing.
